On 7 September 2015, the SEPRELAD issued Resolution No. 345 which preventive policies to be applied by regulated entities supervised by the Central Bank of Paraguay in their identification procedures shareholders of legal persons operating as clients are determined whose societies have bearer shares.
Under this new law, corporations that operate with banks will convert their registered shares to bearer to registered, or otherwise may maintain such bearer shares as ordered by the Civil Code, but must register them and keep them in custody financial institutions to identify its owner.
This resolution does not amend or repeal the provisions of the Civil Code, ie, bearer shares are still permitted. What it does is require banks that operate through them, corporations must record these actions or directly nominating them.
